1. ELIGIBILITY: The NTN Buzztime, Inc. Commissioner Challenge (the “Contest”), brought to you by NTN Buzztime, Inc. (the “Sponsor”), is governed by these Official Rules. The Contest is open to legal residents of the 50 United States, the District of Columbia and Canada who are 21 years of age or older at the time of entry. Void where prohibited.  Sponsor reserves the right, at any time, to verify eligibility requirements, in any manner it deems appropriate.  Employees and directors of NTN Buzztime, Inc, sponsors, its affiliates, subsidiaries, advertisers, advertising agencies, promotional and marketing agencies and their immediate families (spouse, siblings, parents, children and their spouses) and/or those living in the same household are not eligible to participate in the Contest. Buzztime shall be the sole judge of eligibility and its decisions are final and binding.

2. THE CONTEST PERIOD:

a)  Appointing the Four Commissioners: Submissions to be selected as a Commissioner will begin on September 25, 2009 at 12:00:01 a.m. Central Time (CT) and conclude on October 9, 2009 at 11:59:59 p.m. CT.

b)  Top Commissioner Competition: The competition to be Buzztime’s Top Commissioner will begin on October 19, 2009 at 12:00:01a.m. Central Time (CT) and concludes on November 20, 2009 at 11:59:59 p.m. CT.

3. HOW TO ENTER:

FOR COMMISSIONER SELECTION: Submit a document via email to promotions@buzztime.com with SUBJECT LINE: COMMISSIONER CHALLENGE outlining why you would make a good commissioner and what your plan would be to get your peers into the bar to play Buzztime’s Fantasy Football or Pick ‘Em games on Wednesday nights during the Top Commissioner Competition time period. Entries must be in English.

Step 1:  Sample questions to answer:  Are you a sports aficionado? Are you the quarterback of your friends? Why do you think you should be Buzztime’s Commissioner? How many people are on your current Fantasy Football team? How many Facebook friends do you have? How many followers on Twitter do you have? Are you active on other social media platforms.

Step 2:  Give us your playbook on how you plan to reach out to your network and get them to your event to play Buzztime’s Fantasy Football and Pick ’Em games on Wednesday night at a local restaurant or sports bar.

Step 3:  Provide your entry details, including name, age, primary residence address, phone number and email address.

By participating in this Contest, each entrant agrees to be unconditionally bound by these Official Rules and the decisions of Sponsor, which shall be final and binding in all respects. Incomplete or non-conforming entries, in Buzztime’s sole judgment, may be disqualified.

BY SUBMITTING AN ENTRY, ENTRANT ACKNOWLEDGES THAT HIS/HER ENTRY MAY BE POSTED ON SPONSOR’S WEBSITES, IN SPONSOR’S DISCRETION. Sponsor reserves the right to, and may or may not monitor/screen entries prior to posting them to its Website(s). By entering, you acknowledge that Sponsor has no obligation to use or post any piece of your submission. All entries become the property of Sponsor and include a worldwide paid-up license to use any and all names and likenesses submitted. By submitting an Entry, you agree that your submission is gratuitous and made without restriction, and will not place Sponsor under any obligation, which Sponsor is free to disclose or otherwise disclose the ideas contained in the Entry on a non-confidential basis to anyone or otherwise use the ideas without any additional compensation to you. You acknowledge that, by acceptance of your submission, Sponsor does not waive any rights to use similar or related ideas previously known to Sponsor, or developed by its employees, or obtained from sources other than you.  

By submitting an Entry you warrant and represent that it: (a) is your original work, (b) has not been previously published, (c) has no previous awards, (d) does not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity; (e) that you have obtain permission from a person who's name or likeness or voice is used in the Entry and (f) and that publication of the Entry via various media including Web posting, will not infringe on the rights any third party rights. You further agree to indemnify and hold Sponsor harmless from any claims to the contrary.  

4. JUDGING:

a)  Four Commissioners Selection:  Buzztime will read each entry and will be looking for an eligible individual that enjoys sports, understands and utilizes social networks. Buzztime will be looking for the person(s) who develop the most creative game plan for driving traffic to their chosen bar or restaurant through their online presence.  The strongest four applicants, in Buzztime’s sole judgment, will be chosen by Buzztime as a Commissioner. UPON BEING SELECTED, THE FOUR WINNING COMMISSIONERS MUST “FRIEND” NTN BUZZTIME FACEBOOK PROFILE at http://www.facebook.com/ntn.buzztime.  For each Wednesday Night Huddle that a selected and qualified Commissioner holds, Commissioners automatically receives $100 to spend on food and any non-alcoholic beverages (maximum of 3 events per Commissioner during the Competition time period).

b)  Top Commissioner Competition:  Top Commissioner will be awarded among the selected and qualified Commissioners based on points acquired throughout the Contest. The scoreboard below details a point system, and the one eligible Commissioner with the highest amount of points at the end of the Contest will be awarded the Grand Prize.  In the event of a tie based on points, the Grand Prize will go to the Commissioner with the most “Safeties.”

• Safety - Number of event RSVP’s – whether that be on Facebook, Evite or another event program (2 pts per person) and number of Twitter Retweets about the event.
• Extra point - Number of Twitter tweets and Facebook status updates the Commissioner posts about the event (1 point per update).
• Touchdown - Number of videos taken (30 seconds or longer) and number of blog posts written by Commissioner. (6 points for each)  Fans/Friends from social networks that upload videos to the profile of the Commissioner are also counted as Touchdowns.
• Field Goal - Number of photos taken – (3 points per photo).  Fans/Friends from social networks that upload images to the profile of the Commissioner are also counted as Field Goals.

Each Monday during the Top Commissioner Contest Period, Buzztime will send each Commissioner a document where she/he will be responsible for filling out appropriate details regarding their particular points for that week. Commissioners must include active and working URLs of where to find blog posts, images, videos, RSVPs to events and other documentation based on the scoreboard criteria. URLs will be key to Buzztime allotting official points.  Commissioners MUST send document back to Buzztime (via email) no later than the following Friday each week to receive those points. Buzztime is not responsible if links are not working or active. Buzztime shall be the sole judge of prize winners, including the number of points to which a Commissioner is entitled based on submissions it receives by the applicable deadline.  Buzztime’s decisions are final and binding and may not be contested or appealed.

Buzztime reserves the right to change the scoreboard criteria prior to the start of the Top Commissioner Contest and will communicate final scoreboard to Commissioners prior to the start of the Contest Period.

Notifications to potential winners may be sent, in Sponsor’s discretion, by mobile device text message, email, telephone, voicemail and/or regular mail to any address or phone number received from participant. In the event that potential winner (a) fails to respond to the Sponsor’s notification that they are a potential winner within forty-eight (48) hours, (b) fails to satisfy any eligibility criterion, verification request or condition described herein, (c) declines to accept the prize, or (d) is otherwise determined to be ineligible by Sponsor, Sponsor may in its discretion disqualify that individual and may award that prize to a qualified alternate.

5. PRIZE DETAILS:  One (1) Grand Prize: A $500 gift certificate to StubHub.com will be awarded to the Commissioner who acquires the most points based on the scoreboard criteria above.

Four (4) Commissioner Prizes: $100 (cash, gift card(s) etc.) to spend on food and any non-alcoholic beverages per qualifying event held by winner (maximum of 3 events per winner during the Competition time period).

Total retail value of Grand Prize is approximately $500. Approximate Retail Value of prizes is not a guarantee of price or value. The difference in value of prize as stated herein and value at time of prize notification, if any, will not be awarded. Gift cards are subject to further rules and restrictions generally applicable to StubHub.com gift cards.  Participants agree to these further rules and restrictions.  Sponsor shall not be responsible for StubHub.com’s or any other prize supplier’s failure or delay in delivering or honoring prizes.

Prizes are not exchangeable, transferable or redeemable for cash. Prizes will be awarded only upon winner validation and verification by Sponsor. Winners must agree to abide by all restrictions in connection with the prizes. In the event of unavailability of prizes, Sponsor, in its sole discretion, reserves the right to substitute a prize of comparable value. Sponsor is not responsible for any late, lost, or misdirected notification or for winner’s unsuccessful efforts to claim any prize.

6. WINNER VERIFICATION & CONDITIONS:  As a condition of receiving any prize, potential winners may be required to: (a) verify their eligibility by providing Sponsor with valid government-issued photo identification showing name and address, (b) sign and return an affidavit of eligibility and (c) sign and return other legal documents, including tax forms, a publicity release and a full and unconditional liability release supplied by the Sponsor, which, among other provisions, releases the Sponsors their subsidiaries, directors, agents, agencies, affiliates, franchisees, promoters, officers, directors, employees and related persons from any and all liability related to the Contest and the receipt and use of the prize.

7. GENERAL:  By accepting a prize, winner agrees that Sponsor is not responsible and will be held harmless by winner for any loss, injury, or damage to person or property due in whole or in part directly or indirectly to possession, acceptance, transfer, loss, use or misuse of any prize or participation in the Contest. All federal, state and local taxes are the responsibility of the winner. By accepting a prize, winner also consents to the use and publishing of their individual name, likeness, photograph, image, and voice by Sponsor for promotional purposes in all manner and media formats worldwide, in perpetuity, without further compensation to participants individually or jointly, unless prohibited by law.  

All federal, state and local laws apply. Sponsor shall be entitled to interpret these rules as it deems necessary — including but not limited to rules regarding entries, selection of players and winners, deadlines, prize restrictions, and eligibility — and all of Sponsors’ decisions are final and binding. Sponsor is not responsible for lost, interrupted or unavailable network server or other connections, miscommunications, failed telephone or computer transmissions, or technical failure, jumbled, scrambled or misdirected transmissions or other errors of any kind whether human, mechanical or electronic. Attempts, as solely determined by Sponsor, to abuse, cheat, circumvent, manipulate data and entries will result in participant disqualification. If the operation of the Contest is compromised due to virus, bugs, non-authorized human intervention or any other causes beyond the reasonable control of Sponsor Sponsor reserves the right, in its sole discretion, to suspend, modify or terminate the Contest in its entirety and to disqualify any individual who tampers with the entry process. Sponsor reserves the right to amend these rules at any time.

8. ARBITRATION/CHOICE OF LAW:  Except where prohibited by law, you as an entrant agree that: (1) any and all claims, disputes and causes of action relating directly or indirectly, to the Contest, and use of the Sponsor equipment and programming shall be resolved individually, without resort to any sort of class action and exclusively by arbitration or alternative dispute resolution in San Diego County, California, as selected by Sponsor; (2) any and all claims, judgments and awards shall be limited to actual out of pocket costs incurred and shall not include attorneys’ fees; and (3) in no event will a participant be entitled to obtain additional awards beyond out of pocket costs and participants hereby waive all rights to claim punitive, indirect, incidental, non-economic and consequential damages and hereby waive any and all rights to have damages or awards multiplied or otherwise increased. Should any term of this rule or any other rule, term or condition of these Official Rules and any addendum or published notice referenced in these Official Rules be determined to be void, unenforceable or contrary to applicable law, such terms or conditions shall, but only to the extent necessary to bring the rule within the requirements of the law, be deemed to be severed from the other terms and conditions and the remainder of the Official Rules shall remain in full force and effect.

9. WINNERS LIST:  The name of the winner will be posted on http://www.buzztime.com/commissioner at the conclusion of the Contest for a limited time. To obtain a copy of the winners list or a copy of these Official Rules, send your request along with a stamped, self-addressed envelope to: NTN Buzztime, Inc.: Attn: Promotions, 5699 La Place Court, Suite 100, Carlsbad, California 92008. Requests must be received no later than November 31, 2009.
